List of Forms

Form FC
This form is filed while undertaking financial commitment under Overseas  Investment (ODI) regulations.
FLA Return
An Indian entity that has received foreign investment or made overseas investment must submit an Annual Return on Foreign Liabilities and Assets (FLA).
APR (Annual Performance Report)
This report must be submitted by a person who has made an Overseas Direct Investment (ODI).
FC-GPR (Foreign Currency – Gross Provisional Return
An Indian company issuing equity instruments to a person resident outside India, where such issue qualifies as Foreign Direct Investment (FDI) under the NDI Rules, 2019, must report the issuance in Form FC-GPR within the prescribed time from the date of issue.
FC-TRS (Foreign Currency – Transfer of Shares)
This form must be filed for the transfer of equity instruments between a resident and a non-resident in accordance with the NDI Rules, 2019.
LLP-I
Limited Liability Partnerships (LLPs) receiving consideration for capital contribution or acquisition of profit shares from a person resident outside India must report the transaction in Form LLP-I.
LLP-II
LLPs must report disinvestment or transfer of capital contribution/profit share between a resident and a non-resident (or vice versa) within the prescribed time from the date of receipt of funds using Form LLP-II.
Form CN
A startup company issuing Convertible Notes (CNs) to a person resident outside India must file Form CN.
Form ESOP
An Indian company issuing Employee Stock Options (ESOPs) to persons resident outside India—including employees/directors of the Indian company, its holding company, joint venture, or wholly owned overseas subsidiaries—must file Form ESOP within the prescribed time from the date of issue.
Form DI
An Indian entity or investment vehicle making downstream investment in another Indian entity, where the investment is considered indirect foreign investment, must file Form DI within the prescribed time from the date of allotment of equity instruments.
Form ECB

This form is filed to obtain permission to raise loans from persons resident outside India.

Form ECB 2

This form reports the details of actual loan transactions with persons resident outside India.

Form A2
Used for reporting foreign currency remittances (non-import related).
Form IPI
Required for the acquisition of immovable property in India by non-residents.
Annual Activity Certificate (AAC)
Must be filed annually by liaison or branch offices operating in India.
